Subscription & Payment Terms

Version PROD-2026.10.27.01 Effective October 27, 2026
SUBSCRIPTION & PAYMENT TERMS These Subscription & Payment Terms ("Subscription Terms") supplement the published Terms of Service for free trials, paid subscriptions, billing, plan changes, cancellations, online customer invoice payments, and related commercial activity in Got2Dev Business Manager (the "Service"), operated by GOT2DEV, INC. ("GOT2DEV," "we," "us," or "our"). The authorized person accepting a paid subscription represents that the person may act for the subscribing business ("Business"). These Subscription Terms should be read together with the Terms of Service, Privacy Policy, and any separately applicable written agreement. Mandatory rights under applicable law are not waived. 1. PLAN SELECTION AND PRICING The selected plan, recurring subscription price, billing interval, included features, usage limits, applicable taxes, and any Got2Dev Business Manager online-payment platform fee are determined by the values expressly presented during registration, checkout, or in Plan & Billing for the relevant transaction. Plan and platform-fee values may be maintained in the Service's administrative pricing configuration; this document does not establish a fixed subscription price or platform-fee percentage. An authorized change is subject to the disclosed effective date and applicable law. A later configuration update does not retroactively change the commercial terms of a completed transaction or silently rewrite an immutable published legal version. 2. FREE TRIALS At the time this version was prepared, public registration was configured to offer a 14-day trial, subject to eligibility and the terms displayed at registration. Registration does not require a payment method when the applicable registration flow expressly indicates that no payment method is required. The trial is for evaluation, is provided AS IS and AS AVAILABLE, and does not guarantee uninterrupted access, error-free operation, or preservation of every record. Businesses should use noncritical or independently preserved information when evaluating the Service. The warranty disclaimers and free-trial limitation-of-liability provisions of Sections 13 and 14 of the Terms of Service apply only to the extent permitted by applicable law. The trial does not itself authorize a future charge or create a paid subscription obligation. A paid subscription and recurring billing require the Business's express authorization through the applicable supported checkout process. If the trial ends without an authorized paid subscription, trial access may expire or become restricted under the subscription lifecycle; no automatic paid charge is implied. Eligibility, future-trial duration, or promotional terms may change prospectively through configuration, subject to applicable law and disclosures. The trial terms accepted for a particular registration are not silently changed by later configuration updates. 3. START OF PAID BILLING Paid billing begins only after a Business expressly authorizes a paid subscription through the supported checkout process and the applicable provider and Service have recorded the subscription state. Before authorization, the checkout should disclose the plan, recurring amount, billing interval, currency, relevant taxes or fees, and applicable renewal terms. The payment-provider and Service records determine the actual subscription status, billing dates, and payment outcomes. A trial registration alone does not constitute paid checkout authorization. 4. PAYMENT AUTHORIZATION AND PROCESSING By affirmatively completing an authorized Stripe-hosted or other supported subscription checkout, the Business authorizes the subscription charges and recurring renewals disclosed during that checkout, together with applicable taxes and other separately disclosed charges, subject to these Subscription Terms and applicable law. Charges or material changes requiring further notice or consent will not be treated as preauthorized merely because a payment method was previously supplied. Where hosted or tokenized checkout is used, GOT2DEV does not receive or store full card numbers, card verification codes, or bank-account credentials submitted directly to the payment provider through that interface. The Business must maintain valid payment information when required for a paid subscription and must review its subscription invoices and billing records. 5. MONTHLY AND ANNUAL RENEWALS MONTHLY SUBSCRIPTIONS: A monthly subscription provides access for the paid monthly term. Unless future automatic renewal is disabled before the applicable renewal deadline, it may renew for the next monthly billing period at the disclosed price and on the terms applicable to that renewal, subject to required notices, consent, and cancellation rights. Scheduling period-end cancellation ordinarily leaves access active through the current paid-through monthly date and prevents the next automatic renewal. ANNUAL SUBSCRIPTIONS: An annual subscription provides access for the purchased annual term, at the annual price disclosed during checkout, which may reflect a discount compared with twelve separate monthly terms. It is a commitment for that annual term. Unless future automatic renewal is disabled before the applicable renewal deadline, it may renew for another annual billing period at the applicable disclosed terms, subject to required notices, consent, and cancellation rights. Scheduling nonrenewal does not itself terminate the current annual term early; access ordinarily continues through the paid-through annual expiration date. An annual nonrenewal request does not by itself entitle the Business to a prorated refund for unused months, except where required by law or expressly agreed in writing. We will provide renewal disclosures, reminders, and means of stopping recurring charges to the extent applicable law or a separately binding agreement requires them. The Business should review the billing date, renewal terms, and supported cancellation controls in Plan & Billing. A payment provider's retry, pending, or processing status may affect the timing of a recorded renewal, but does not eliminate any mandatory cancellation or refund right. 6. PLAN AND BILLING-INTERVAL CHANGES Eligible plan or billing-interval changes may be requested through the supported Plan & Billing workflow. Under the presently described implementation, eligible changes are scheduled for the next billing-period boundary rather than immediately changing the current paid term. No automatic mid-period prorated charge, credit, or refund is created solely by scheduling such a change, unless expressly displayed or otherwise required by applicable law or a separate written agreement. The Service should present the applicable next plan, price, interval, and effective date before the authorized change is confirmed. Not every plan or interval change is available at every lifecycle state. 7. CANCELLATION AND PERIOD-END NONRENEWAL A Business may request that its paid subscription stop renewing through the supported Plan & Billing cancellation workflow while its subscription is eligible for management. Cancellation of future renewal is different from immediate termination for a serious breach, security threat, fraud, legal requirement, or another authorized reason described in the Terms of Service. For a healthy monthly subscription, a scheduled period-end cancellation ordinarily continues service through the paid-through monthly date. For a healthy annual subscription, scheduled nonrenewal ordinarily continues service through the paid-through annual expiration date. The cancellation request stops future automatic renewal when successfully recorded in time under the applicable rules; it does not, by itself, shorten the already-purchased term. Neither monthly cancellation nor annual nonrenewal automatically creates a partial-period refund or credit, except where required by applicable law or expressly agreed in writing. The cancellation procedure, timing, and confirmation remain subject to mandatory applicable-law requirements. Businesses experiencing difficulty using the supported controls may contact support for assistance; contacting support does not replace a mandatory cancellation method or a successfully recorded cancellation request. 8. REFUNDS, CREDITS, REVERSALS, AND DISPUTES Refund or credit eligibility depends on applicable law, an expressly applicable separately published policy or written agreement, and the facts of the transaction. Stopping use of the Service, scheduling cancellation or annual nonrenewal, or requesting a plan change does not alone promise a prorated refund. Refunds, payment reversals, chargebacks, and disputes may be handled through the applicable payment provider and reflected in billing or reconciliation records. Any lawful mandatory refund, chargeback right, or repayment obligation remains available notwithstanding these Subscription Terms or a contractual liability cap. Section 14 of the Terms of Service concerns covered damages claims and is not a substitute for legally required refunds or repayment of amounts improperly retained. 9. FAILED PAYMENTS AND ACCOUNT STATUS Failed or unpaid subscription charges may lead to authorized payment retries, past-due status, a grace period if configured, restricted functionality, suspension, or termination in accordance with the actual subscription lifecycle, the Terms of Service, and applicable law. A grace period is not guaranteed unless expressly provided. Businesses remain responsible for subscription amounts lawfully due. Restrictions or termination resulting from nonpayment do not by themselves create a refund, and legally required notices and rights remain unaffected. 10. ONLINE CUSTOMER INVOICE PAYMENTS AND PLATFORM FEES Where enabled and available to an eligible Business, online payment of that Business's customer invoices may be processed through Stripe or another supported provider. An applicable Got2Dev Business Manager platform percentage or fee is the one disclosed for the Business's plan and the relevant payment transaction; no fixed percentage is established by this document. The provider's processing fees are separate from GOT2DEV's platform fees unless an express disclosure states otherwise. The customer invoice balance is reduced by the successful payment amount actually applied to that invoice. Provider processing fees and GOT2DEV platform fees generally reduce the Business's net payment proceeds rather than increasing the customer's remaining invoice balance merely because a fee was assessed, subject to applicable transaction terms and law. Funds paid by the Business's customers toward their invoices are not GOT2DEV subscription fees. Such funds, processing fees, platform fees, refunds, disputes, and settlements may be subject to separate payment-provider and connected-account terms. The Business remains responsible for accurately presenting invoice amounts, understanding its own fee arrangements, and reconciling payments, refunds, and payouts. These Subscription Terms do not promise that customer invoice payments or connected-account features are enabled for every Business or environment. 11. TAXES Prices may exclude applicable taxes unless the checkout or transaction display states otherwise. The Business is responsible for taxes, duties, or governmental charges lawfully imposed on its purchase or use of the Service, except taxes imposed on GOT2DEV's net income, to the extent provided by applicable law. Any taxes GOT2DEV is required to collect should be disclosed as applicable through the authorized billing process. Nothing in this section shifts a statutory tax obligation in a way prohibited by law. 12. PROCESSOR AND CONNECTED-ACCOUNT REQUIREMENTS Subscription processing, online invoice payment processing, connected accounts, identity verification, payouts, refunds, disputes, chargebacks, settlement timing, account eligibility, and service availability may be governed by applicable Stripe or other provider terms. GOT2DEV does not control every provider decision or processing timeline. Businesses must comply with any provider terms applicable to their participation. Third-party arrangements do not displace duties GOT2DEV independently owes under applicable law or a separate binding agreement. 13. CURRENCY AND DISPLAY Charges are made in the currency displayed during the applicable authorized checkout or transaction. The Business should review the exact amount, billing interval, renewal terms, currency, taxes, and separately disclosed fees before confirming a paid transaction. If conversion or financial-institution charges apply, their treatment may be governed by the applicable provider's terms and disclosures. 14. COMMERCIAL CHANGES AND LEGAL VERSIONING Future subscription prices, platform fees, trial offerings, and commercial features may change prospectively. Material changes will be disclosed and any additional consent obtained where required by applicable law or binding agreement before they take effect. A future pricing or configuration change does not retroactively rewrite an already accepted or immutable published legal version. Updated legal terms must be issued through a new published legal version where required, with any applicable notice or reacceptance process. Any separately signed agreement providing different express commercial terms controls to the extent specified in that agreement. 15. CONTACT AND RELATIONSHIP TO TERMS OF SERVICE Billing, cancellation, subscription, or payment questions may be directed to support@got2dev.com or (786) 975-3187. Legal questions may be directed to legal@got2dev.com, or by mail to GOT2DEV, INC., 8520 SW 133 AVE. RD., APT. 122, Miami, FL 33183. Product information is available at https://www.got2dev.com. These Subscription Terms supplement the Terms of Service. The Terms of Service govern general access, restrictions, warranty disclaimers, and the limitation of liability, including its non-waivable-rights exceptions. A separately signed agreement with an express controlling term supersedes a conflicting provision to the extent stated. Nothing in these Subscription Terms excludes cancellation, disclosure, refund, data-security, consumer-protection, or other rights that applicable law makes non-waivable.
